Why it is written
An internal procedure exists so the argument is not left to the moment of the meeting. Who chairs, how many must attend, how a decision is taken and what happens in disagreement are written in advance.
What it contains
The committee's purpose and scope; members and their duties; how often it meets and when it meets extraordinarily; how the agenda is formed; the quorum for decisions; how decisions are recorded and followed; and how coordination is arranged where contractors are present.
A living document
The procedure is not written once and shelved. When a committee does not work, the reason is usually in the procedure: the interval is unrealistic, the quorum cannot be met, or follow-up was given to nobody.
